The base decides it. If the base under the asphalt is sound, repairs or a resurfacing overlay will usually solve the problem for a fraction of the cost of replacement. If the base has failed, new asphalt placed on top of it fails again quickly, so replacement is the only fix that holds.

In most cases the answer is mixed: replace the failed dock approach, overlay the customer parking and patch the rest. That is why the written estimate separates the options by area of the lot instead of giving one number for everything.
Signs the base has failed: cracks in a connected, alligator-skin pattern; areas that sink or spring under a loaded truck; patches that break up again within a season; and water that ponds in the same places after every storm. When it is unclear, your contractor will confirm the base condition during the site assessment before recommending a scope.
